Contract drafting assesssment

For this assignment, you will be practicing writing a contract.

I am giving you a fact scenario that is a typical business agreement.

Fact Pattern

Celine just designed a new line of designer blue jeans (Be Aware, Inc.). She is very excited about these jeans because the plan is to donate 20% of the profits to breast cancer research. This is particularly meaningful to her because her mother is a breast cancer survivor. Unfortunately, the retail market is very tough this year, and many retail stores have already turned her down because they cannot take a chance on a new brand; the stores have told her that although her designs are fresh, Celine’s brand lacks name recognition and so the stores are not confident that they will sell. One of Celine’s old friends from high school is now a sales manager at Nordstrom, and has arranged for a meeting between Celine and the head boss of Norsdtrom in Seattle to discuss Be Aware brand jeans.

Celine is to sign a trial contract with Nordstrom and has come to your law firm. You are junior lawyers tasked you with drafting a draft first contract with the flagship Seattle Nordstrom store. If the brand sells according to the negotiated terms, then Celine could be offered a long-term nation-wide contract.

Here are some of the terms to include:

– Contract to begin September 2020 through September 2022
– Contract will be between Be Aware and the Downtown Seattle Nordstrom store
– Nordstrom online will accept 3500 units from Be Aware
– No sales will be held until September 2021 and prices to be negotiated at that time
– Should Holiday sales be higher than anticipated, Be Aware will provide additional units

What are the main things that this contract should include?

Contracts need to have dates and lines for people’s signatures.

Also, include all the terms that are listed in the assignment.

The contract does not need to be long.

I would love to see you draft some additional things for Celine (see Assessment 2) in the contract that you think are important for her. Should there be a clause about termination, dispute resolution ? Be creative if you have the time.
